Dmitri Rozenblat is an attorney specialised in tax law who advises clients in all tax law issues, including tax disputes and international taxation.
In addition, Dmitri has extensive experience in advising clients on M&A transactions and corporate restructuring as well as on the resolution of everyday corporate and contractual law matters.
Dmitri has been appointed as a member of the Advisory Commission on cross-border tax disputes.
Dmitri has previously worked as an attorney and tax counsel at different law firms. He has also gained business experience working as the head lawyer at AS Silvano Fashion Group.

Ellex Raidla and Civitta advised the establishment of Tartu University holding company
On 30 November, the council of the University of Tartu (UT) decided to establish the company UniTartu Ventures OÜ, adding an opportunity to direct the intellectual property created by UT researchers to research- and technology-intensive companies.
One objective of the University of Tartu is to be the accelerator of smart economy in Estonia. This also means that the university is more actively participating in the creation of new high-tech companies. The need for a new company mainly resulted from the success and rapid development of the Institute of Genomics, institutes of the Faculty of Science and Technology, the university’s Feasibility Fund and the university’s spin-off programme in recent years.
The university-owned intellectual property to be invested in growing enterprises via UniTartu Ventures may include, for instance, data, research findings or patents. In addition to emerging companies stemming from the university, UniTartu Ventures can also cooperate with other Estonian or international technology companies that are in the early stage and need the intellectual property created at the university to develop.
The establishment of UniTartu Ventures OÜ was advised in cooperation with Civitta by Ellex Raidla's Counsel Antti Perli, Managing Partner Ants Nõmper and Tax Counsel Dmitri Rozenblat.

Ellex Raidla’s Tax Counsel Dmitri Rozenblat appointed as a member of the Advisory Commission on cross-border tax disputes
From 1 July 2019, a new EU-wide system to resolve tax disputes between Member States applies to ensure quicker and more effective resolution of tax disputes.
Under the new mechanism, the tax authority will be required to settle a dispute on the application of double taxation treaties first within a two-year period through a mutual agreement procedure. If no solution has been found at the end of the set time limit, the taxpayer can request the setting up of an Advisory Commission to deliver an opinion.
This Advisory Commission will be comprised of three independent members appointed by the Member States concerned and representatives of the competent authorities in question.

We advised Operail AS in entering the Finnish market
International transport and logistics company Operail has launched a subsidiary in Finland, Operail Finland Oy, and is investing 50 million euros to begin freight transport on Finnish railways.
Operail is an international railway logistics and transport company whose main business lines are freight transport, wagon rental, and rolling stock maintenance and construction. In 2018, Operail carried 13.4 million tonnes of goods. The company has a fleet of more than 3,500 wagons, with almost 2,200 wagons leased to international customers.

Ellex Raidla the Estonian Counsel to Marrone Bio Innovations in the Acquisition of Pro Farm Technologies
Ellex Raidla, as the Estonian Counsel to the project, represented Marrone Bio Innovations, Inc., an international leader in sustainable bioprotection and plant health solutions, in its acquisition of Pro Farm Technologies Oy, a Finnish agriculture technology company supplying nutrient and biostimulant technology and products. The cash and stock transaction valued Pro Farm Technologies at USD 31.8 million. Pro Farm Technologies Oy is the parent company of the Estonian company Pro Farm OÜ.

Ellex Raidla advised the sale of ISS Eesti AS
Ellex Raidla advised ISS Eesti AS, a subsidiary of a well-known international real estate maintenance group ISS, on the sale to private investors, all connected with the real estate company Colonna. The new owners support the current management and their goal to further increase the company's trust and quality in the domestic market.
The new owners of ISS Eesti AS will be Triinu Reinold, active in several companies as Senior Manager, Ülo Kallas, CFO and Businessman, Roberto de Silvestri, International Real Estate Investor and Elio Cravero, his business partner.
The new name of the company will become clear over the following months, so far, the activities will continue under the name of ISS Eesti.

BaltCap is the leading dedicated private equity and venture capital investor in the Baltic states (Estonia, Latvia and Lithuania ). BaltCap has a long experience in the medical sector and is strongly established in the field. The company is or has previously been the owner of several well-known companies in the Estonian medical sector: occupational health care company Qvalitas, the largest medical laboratory services provider SYNLAB (ex Quattromed) and clinical research organization eGeen. BaltCap also owns Unimed Group and their dental clinics in Tallinn, Tartu and Pärnu, as well as a dental laboratory Dental Design. In Lithuania BaltCap is the owner of the InMedica chain of primary care and specialized clinics, and Labochema, which offers laboratory supplies in the Baltics.

We advised pension funds managed by AS LHV Varahaldus and Swedbank Investeerimisfondid AS - in relation to a 25MEUR investment in the bonds of Alexela Tanklad OÜ, which was used to finance the purchase of the Euro Oil petrol station chain.
Chairman of the board of the Alexela group Andreas Laane told Estonia’s business daily Äripäev that they had been looking for suitable financing for over 6 months and the it was decided to raise money from pension funds because of the duration of the financing, which gives a benefit in the cyclical nature of the economy. "If it is possible for banks to talk about a maximum of five years of funding, then the funding of pension funds is ten years," said Laane.
