We represent the Ministry of Finance in Rail Baltic disputes
Ellex Raidla’s Partner Martin Triipan and Attorney Kaisa Laidvee are representing the Ministry of Finance before the Administrative Court in disputes concerning the construction of the Rail Baltic railway.

Various complainants have disputed in court the county plans that establish the Rail Baltic route in Estonia. The complainants believe that the county plans are unlawful and the Rail Baltic route has not been correctly determined.

Tallinn Administrative Court rejected the complaints in the court of first instance and said that the county plans are lawful and the county plan procedure has appropriately weighed the impacts of the railway route (incl. to nature and habitation).
Ellex Advised Enefit Green with the Acquisition of Nelja Energia
Ellex team advised the third biggest Estonian deal ever where Eesti Energia AS's fully owned subsidiary Enefit Green AS acquired Nelja Energia AS.
 
On 29 May 2018 Eesti Energia AS's fully owned subsidiary Enefit Green AS as the buyer, and Vardar Eurus AS and minority shareholders as the sellers entered into a Share Purchase Agreement regarding all the shares in Nelja Energia AS, a renewable energy producer and developer in the Baltic countries. The transaction remains subject to approval by the County Executive Board of Buskerud County Administration, and customary approvals and clearances by relevant competition authorities.
 
The consideration payable for 100% of the shares of Nelja Energia amounts to 289 million EUR. In addition, the buyer assumes Nelja Energia’s net debt which amounted to 204 million EUR as at the end of 2017.
 
The transaction concerns 100% of the shares of Nelja Energia AS. Vardar AS has agreed (through its subsidiary Vardar Eurus AS) to sell its 77% holding of the shares in Nelja Energia. The remaining 23% of the shares is acquired from a number of Estonia based minority investors.

We advised Harju Elekter on purchasing a Swedish engineering company
Ellex Raidla advised Harju Elekter in the purchase of Swedish sales and technical solutions company SEBAB AB and manufacturer of pre-fabricated technical buildings Grytek AB from Tnåa AB.
 
Harju Elekter paid 3.6 million euro for the two companies (SEK 36.0 million). The acquired companies will initially continue to use their name and trademarks, operating as full subsidiaries of the group.
 
Harju Elekter Group has been active on the Swedish market since 2010 delivering substations and industrial automation solutions to Swedish customers.
As a result of this transaction, the Estonian stock company will enter new markets and expand its product portfolio. Concurrently, Harju Elekter Group’s capability to offer its Swedish clients more complete technical solutions and turn-key projects as well as service support will increase
 
Harju Elekter Group’s plants in Estonia, Finland and Lithuania employ more than 600 specialists, and the Group’s 9 months 2017 revenue amounted 74 million euros. Harju Elekter’s shares are listed on Nasdaq Tallinn.
