Ellex Raidla advised Paged Group on the acquisition of Valmos
Paged Group, a Polish industrial and investment group, has purchased a 100% stake in Valmos, one of the largest Estonian producers of veneer. The Polish investor plans to support the company’s intensive development, including further investments in expanding the production capacities and efficiency at Valmos’ production facility.
Paged Group consists of the parent company, Paged S.A., and subsidiaries in five key business segments: plywood, interior design and furniture, services and technology, property and other activities. The Group’s plywood segment, with five modern factories in Poland, is one of the largest plywood producers in Europe.
Kaamos Group is an Estonian capital based industrial and investment group, with 15 years of successful track record in the field of real estate development, construction, and timber industry.

We advised Infortar AS on the sale of Pirita Spa Hotel
Ellex Raidla team advised AS Infortar, the core owner of the listed Estonian shipper Tallink Grupp, on the sale of Pirita Spa Hotel to Purje Vara OÜ.
From 16 November  the spa hotel, owned by Purje Vara OÜ, will be operated by the Estonian company BRE Hotels OÜ. The hotel has 267 guest rooms, Regatta Restaurant, a grill bar and a fitness center, as well as treatment and wellness packages available as additional services. Sales and Marketing Director of BRE Hotels OÜ Tõnu Steinberg said that the goal is to develop the hotel into a modern and innovative leisure and entertainment center.
Infortar is one of the largest private investment groups in Estonia with interests in shipping and transportation, hospitality, real estate, printing, trading, financial service industries and energetics. Their investments include a 38% ownership of AS Tallink Group (the leading transportation and shipping company in the northern Baltic Sea region), 67% of AS Eesti Gaas, numerous hotel and real estate investments consisting of ca 100,000 m² of different hotel and spa properties in Tallinn and Riga, Tallink Group logistics centre and headquarters, a  commercial and residential building in old town of Tallinn (Vana Posti 7) etc.

We advised Estonian Cell with regards to biogas sale agreement with GreenGas Energy
Ellex Raidla advised Estonian Cell with regards to biogas sale agreement with GreenGas Energy. The result of the transaction will be the building of the first biomethane production plant in the Baltic States, in Kunda. The estimated investment value is around 3.5 MEUR.

GreenGas Energy is planning to produce 6-7 million cubic meters of biomethane a year, which is comparable to the combined annual fuel consumption of the Narva, Tartu and Pärnu public bus service. The construction will started later this year. Biomethane will be produced from biogas generated at Estonian Cell aspen pulp mill. Estonian Cell has produced more than 3 million m3 of biogas so far this year. Biomethane is the cleanest renewable natural fuel, the use of which in transportation will significantly reduce environmental pollution.
